Creator Agreement

This Creator Agreement ("Agreement") is entered into between Fanz ("Platform," "We," "Us," or "Our") and the creator, performer, content provider, or account holder ("Creator," "You," or "Your").

By creating an account, completing identity verification, uploading content, or receiving payments through the Platform, You agree to be bound by this Agreement.

1. Eligibility

You represent and warrant that:

• You are at least eighteen (18) years of age.

• You have the legal capacity to enter into this Agreement.

• You will provide valid government-issued identification for age and identity verification.

• All information submitted to the Platform is truthful and accurate.

The Platform reserves the right to deny, suspend, or terminate any account that fails verification requirements.

2. Content Review and Approval

All content submitted to the Platform may be reviewed prior to publication.

The Platform reserves the right, in its sole discretion, to:

• Approve or reject content.

• Remove content at any time.

• Suspend or terminate creator accounts.

• Request additional documentation before publication.

Approval of content does not constitute endorsement and does not relieve the Creator of responsibility for compliance with applicable laws.

3. Content Ownership

Creators retain ownership of their original content.

By uploading content, You grant the Platform a worldwide, non-exclusive, royalty-free license to:

• Host content.

• Display content.

• Promote content.

• Distribute content.

• Process payments related to content.

• Create thumbnails, previews, and promotional materials.

This license remains in effect until content is removed, except where continued storage is required for legal, business, security, dispute-resolution, or customer-access purposes.

4. Creator Representations and Warranties

You represent and warrant that:

• You created the content or possess all necessary rights to publish it.

• No person depicted is under eighteen (18) years of age.

• No content violates any law or regulation.

• No content infringes copyrights, trademarks, privacy rights, publicity rights, or other intellectual property rights.

• All participants voluntarily consented to the creation and distribution of the content.

You assume full responsibility for the legality of all uploaded content.

5. Model Releases and Age Verification

For every identifiable person appearing in content, You must maintain:

• Government-issued identification showing the individual is at least eighteen (18) years old.

• A signed model release.

• Written consent authorizing publication and distribution.

• Documentation sufficient to comply with applicable record-keeping laws.

You agree to provide such documentation promptly upon request by the Platform, payment processors, law enforcement agencies, or regulatory authorities.

Failure to provide documentation may result in immediate removal of content and account termination.

6. Prohibited Content

Creators may not upload, publish, sell, distribute, or promote content involving:

• Minors or persons under eighteen (18).

• Non-consensual conduct.

• Sexual assault or coercion.

• Human trafficking.

• Bestiality.

• Incest.

• Violence intended to cause serious injury.

• Illegal drug distribution.

• Fraud or criminal activity.

• Copyright infringement.

• Harassment, stalking, or exploitation.

• Content prohibited by applicable law or Platform policy.

The Platform maintains zero tolerance for child sexual abuse material (CSAM).

7. Revenue Sharing and Payments

Creators may receive compensation according to the revenue-sharing structure communicated by the Platform.

The Platform reserves the right to:

• Withhold payments during investigations.

• Reverse payments resulting from chargebacks, fraud, or policy violations.

• Deduct fees, refunds, taxes, and processing costs.

• Establish minimum payout thresholds.

Creators are solely responsible for reporting and paying all taxes arising from earnings.

8. Chargebacks and Fraud

The Platform may offset future earnings to recover:

• Chargebacks.

• Payment disputes.

• Fraudulent transactions.

• Refunds issued due to creator misconduct.

Creators remain liable for losses caused by violations of this Agreement.

9. Image and Likeness Authorization

By creating an account and agreeing to this Agreement, You grant the Platform permission to use Your name, likeness, profile image, username, and promotional materials for Platform marketing, advertising, social media promotion, and business operations.

10. Copyright Complaints

The Platform reserves the right to remove content alleged to infringe intellectual property rights.

Repeat infringement may result in permanent account termination.

11. Account Suspension and Termination

The Platform may suspend or terminate any account at any time for:

• Violations of this Agreement.

• Legal compliance requirements.

• Payment processor requirements.

• Security concerns.

• Fraud investigations.

Termination does not eliminate any obligations incurred prior to termination.

12. Limitation of Liability

To the maximum extent permitted by law, the Platform shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Platform.

Total liability shall not exceed the amount paid by the Platform to the Creator during the six (6) months preceding the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless the Platform, its owners, employees, contractors, affiliates, and partners from any claims, liabilities, damages, costs, or expenses arising from:

• Your content.

• Your conduct.

• Violations of this Agreement.

• Violations of law.

• Intellectual property disputes.

14. Modifications

The Platform may modify this Agreement at any time.

Continued use of the Platform following publication of updates constitutes acceptance of the revised Agreement.

15. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict-of-law principles.

16. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, or representations regarding the subject matter herein.
